Terms and Conditions of Use and Engagement

1. About These Terms

These Terms and Conditions of Use and Engagement ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Growdiesel Ventures Limited ("Growdiesel", "Company", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, and engaged in the business of renewable energy consulting, waste-to-biofuel technology, and related training services.

By accessing our website, enrolling in any course or training programme, entering into a consulting or technology engagement, or otherwise using any of our Services, you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately discontinue use of our Services and refrain from entering into any engagement with Growdiesel.

These Terms must be read in conjunction with our Privacy and Data Protection Policy, which is incorporated herein by reference. In the event of any inconsistency between these Terms and the terms of a specific written agreement executed between Growdiesel and a User, the terms of such written agreement shall prevail to the extent of the inconsistency.

These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, the Consumer Protection Act, 2019, and other applicable statutes. All disputes are subject to the exclusive jurisdiction of courts in New Delhi, India, subject to the arbitration provisions set out in Section 16 of these Terms.

2. Definitions

For the purposes of these Terms, unless the context otherwise requires, the following expressions shall have the meanings ascribed to them below:

"Course Content"All materials made available through the course and training platform, including video lectures, written modules, assessments, workbooks, templates, live sessions, and any other educational material, whether in digital or any other format.
"Intellectual Property"All patents, registered and unregistered trademarks, service marks, trade names, copyrights, design rights, database rights, trade secrets, know-how, proprietary technologies, and all other intellectual property rights, whether registered or unregistered, existing anywhere in the world.
"Engagement Agreement"A specific written agreement, proposal, statement of work, or contract executed between Growdiesel and a client for the provision of consulting or technology services.
"User-Generated Content"Any content, including comments, questions, submissions, or materials, posted or uploaded by a User on the course platform or through any interactive feature of the Website.
"Force Majeure Event"Any event or circumstance beyond the reasonable control of a party, including acts of God, natural disasters, pandemics, epidemics, government orders, war, civil unrest, cyberattacks, power failures, or failure of third-party infrastructure.

3. Use of the Website

3.1 Access and Eligibility

Access to the Website is permitted on a temporary basis. Growdiesel reserves the right to withdraw, restrict, or modify access to the Website or any part thereof at any time without notice. You are responsible for ensuring that all persons who access the Website through your internet connection or device are aware of and comply with these Terms.

By accessing the Website, you represent and warrant that you are at least 18 years of age, or that you are accessing the Website with the knowledge and consent of a parent or legal guardian who accepts these Terms on your behalf. Growdiesel does not knowingly permit access to or use of its Services by individuals below the age of 18 years.

3.2 Accuracy of Information

The content published on the Website is provided for general informational purposes only and does not constitute professional advice of any nature, including financial, technical, legal, or investment advice. Growdiesel makes no representation or warranty, express or implied, that the information on the Website is accurate, complete, or current. You should not act or refrain from acting on the basis of any content on the Website without first obtaining appropriate professional advice specific to your circumstances.

3.3 Enquiry Forms and Communications

When you submit an enquiry, request a callback, or otherwise communicate with us through the Website, you consent to being contacted by Growdiesel through the contact details you provide. Submission of an enquiry form does not create any contractual obligation on the part of Growdiesel to provide services to you, and any engagement shall only arise upon execution of a formal Engagement Agreement or course enrolment.

4. Course and Training Platform Terms

4.1 Enrolment

Enrolment in any course or training programme offered by Growdiesel constitutes your agreement to these Terms as they apply to the course platform, in addition to any course-specific terms communicated at the time of enrolment. Enrolment is personal to you and is non-transferable. You may not share your login credentials, course access links, or course materials with any third party.

4.2 Access Period

Upon successful enrolment and receipt of payment, you will be granted access to the relevant Course Content for the period specified at the time of purchase ("Access Period"). Where no specific Access Period is stated, access shall be provided for a period of 12 months from the date of enrolment. Growdiesel does not guarantee that any specific course or module will remain available on the platform indefinitely. In the event that a course is withdrawn from the platform, enrolled users will be given reasonable notice.

4.3 Nature of Course Content

The Course Content is provided for educational and informational purposes only. It reflects the knowledge and experience of Growdiesel and its instructors as of the date of preparation and does not constitute professional, technical, financial, or legal advice. The renewable energy and biogas sector is subject to ongoing regulatory and technical developments, and Growdiesel does not warrant that the Course Content is exhaustive, current, or applicable to any specific project, geography, or regulatory context without independent professional assessment.

4.4 Certificates of Completion

Where a certificate of completion is issued upon successful completion of a course, such certificate is an internal credential issued by Growdiesel and does not constitute a qualification, licence, or accreditation recognised by any government authority, professional body, or regulatory institution, unless explicitly stated otherwise at the time of enrolment. Growdiesel makes no representation regarding the recognition or acceptance of such certificates by any third party.

4.5 Code of Conduct on the Platform

Users of the course platform are expected to engage respectfully and in good faith with course instructors and fellow participants. Growdiesel reserves the right to suspend or permanently revoke access of any User who engages in abusive, defamatory, or disruptive conduct on the platform, without refund of any fees paid.

5. Payments, Fees, and Taxes

5.1 Pricing

All fees and charges for courses and other Services are as stated on the Website or in the relevant Engagement Agreement at the time of purchase or execution. Growdiesel reserves the right to revise its pricing at any time. Any revision to pricing shall not affect fees already paid or agreed in a binding written agreement.

5.2 Payment Processing

Payments for course enrolments are processed through third-party payment gateway operators. By proceeding with a payment, you additionally agree to the terms and conditions of the applicable payment gateway provider. Growdiesel does not store or have access to your payment card details or UPI credentials. In the event of a failed or disputed transaction, you should contact both your bank or payment provider and Growdiesel at shrey@growdieselmail.com.

5.3 Taxes

All fees quoted are exclusive of applicable taxes unless expressly stated otherwise. Goods and Services Tax ("GST") and any other applicable taxes shall be charged in addition to the stated fees at the prevailing rate. A GST-compliant tax invoice shall be issued upon receipt of payment. It is your responsibility to provide accurate billing details, including your GSTIN if you are purchasing in the capacity of a registered business entity, at the time of purchase. Growdiesel shall not be liable for any incorrectly issued invoices arising from inaccurate information provided by you.

5.4 Currency

Unless otherwise specified, all fees are quoted and payable in Indian Rupees (INR). For international purchasers, currency conversion charges and foreign exchange fees shall be borne by the purchaser and are not the responsibility of Growdiesel.

6. Refund and Cancellation Policy

6.1 Course Enrolments

Given the digital and immediately accessible nature of our Course Content, all sales of course enrolments are final upon the earlier of (a) your accessing any portion of the Course Content or (b) the expiry of 7 calendar days from the date of enrolment, whichever occurs first. Within the 7-day window, where you have not accessed any Course Content, you may request a full refund by writing to shrey@growdieselmail.com with your enrolment details and reason for cancellation.

Refund requests made after the expiry of the 7-day window or after accessing any Course Content shall not ordinarily be entertained, except at the sole discretion of Growdiesel in cases of exceptional circumstances such as a documented technical failure on our platform preventing access to the course.

This refund policy is consistent with the provisions of the Consumer Protection Act, 2019, and applicable Consumer Protection (E-Commerce) Rules, 2020. If you believe your refund request has been wrongly rejected, you may escalate the matter to the Grievance Officer at shrey@growdieselmail.com or to the relevant consumer forum having jurisdiction.

6.2 Approved Refunds

Where a refund is approved, it will be processed to the original payment method within 7 to 10 working days. Processing timelines may vary depending on your bank or payment provider and are outside the control of Growdiesel.

6.3 Consulting and Technology Engagements

Cancellation and refund terms for B2B consulting and technology engagements are governed exclusively by the terms of the applicable Engagement Agreement. Where no specific provision is made in the Engagement Agreement, reasonable notice of termination shall be given by either party, and fees for services rendered prior to the date of termination shall remain payable in full.

7. B2B Consulting and Technology Engagement Terms

7.1 Engagement Framework

All consulting, technology licensing, and project implementation engagements between Growdiesel and corporate or institutional clients shall be governed by a written Engagement Agreement, which shall set out the specific scope of work, deliverables, timelines, fees, milestones, and any special conditions applicable to the engagement. These Terms shall apply to all such engagements to the extent not specifically modified or overridden by the Engagement Agreement.

7.2 Nature of Services and Outputs

Consulting outputs, feasibility reports, project designs, and technical recommendations provided by Growdiesel reflect our professional assessment based on information available at the time of engagement and information provided by the client. Such outputs are advisory in nature. Implementation of any recommendations remains the responsibility of the client, and Growdiesel shall not be liable for outcomes arising from the client's decision to implement or not implement any recommendation, unless such liability is specifically assumed in the Engagement Agreement.

7.3 Client Obligations

The client shall provide Growdiesel with timely access to all information, personnel, premises, and approvals reasonably required for the performance of the engagement. Where delays in the delivery of services arise due to the failure of the client to discharge its obligations under the Engagement Agreement, Growdiesel shall not be liable for such delays and may adjust project timelines or charge additional fees for remobilisation, as appropriate.

7.4 Confidentiality

Each party acknowledges that in the course of a consulting or technology engagement, it may receive confidential information belonging to the other party. Each party undertakes to keep such information confidential and to use it solely for the purposes of the engagement, for a period of 3 years following the conclusion of the engagement, unless a longer period is specified in a separate non-disclosure agreement. This obligation shall not apply to information that is publicly available, independently developed, or required to be disclosed by law or a competent authority.

7.5 Proprietary Technology

Technologies developed, owned, or licensed by Growdiesel, including UWP, Regwell, G.E.T.S., and Growdiesel NextGenFuels, are proprietary to Growdiesel and are subject to patent protection and trade secret rights as applicable. No consulting engagement or technology project grants any licence, right, or interest in Growdiesel's proprietary technologies to the client, except as specifically and expressly set out in a written technology licensing agreement executed between the parties.

8. Government and Institutional Project Terms

8.1 Governing Instruments

Engagements involving central or state government bodies, municipal corporations, public sector undertakings, or statutory authorities shall be governed by the applicable MoU, contract, or government work order, as the case may be. These Terms shall apply as supplementary terms to the extent not inconsistent with such instruments. In the event of any conflict, the applicable government instrument shall prevail.

8.2 Compliance with Government Regulations

Growdiesel shall carry out all government project work in compliance with applicable central and state laws, including environmental regulations, the MNRE guidelines applicable to biofuel and biogas projects, the Public Procurement Policy, and any sector-specific regulations. The client-government body is responsible for securing all statutory clearances, land approvals, and permissions required for the project site, unless otherwise specifically agreed in writing.

8.3 Reporting and Audit

Growdiesel acknowledges that government-funded or government-supervised projects may be subject to audit by the Comptroller and Auditor General of India, internal audit bodies, or other designated authorities. Growdiesel shall cooperate fully with any such audit and shall maintain all project documentation for the period required by the applicable contract or statute.

9. Intellectual Property Rights

9.1 Ownership by Growdiesel

All Intellectual Property subsisting in the Website, the Course Content, Growdiesel's proprietary technologies, brand assets, trademarks, logos, trade names, publications, research outputs, and all other materials created or owned by Growdiesel is and shall remain the exclusive property of Growdiesel or its licensors. Nothing in these Terms or in any engagement with Growdiesel shall be construed as conferring any licence, assignment, or transfer of Intellectual Property to you, except as expressly stated herein.

9.2 Limited Licence to Course Users

Upon enrolment and payment, Growdiesel grants you a personal, non-exclusive, non-transferable, revocable, and limited licence to access and use the Course Content solely for your personal educational purposes during the applicable Access Period. This licence does not permit you to download, copy, reproduce, record, redistribute, resell, sublicence, or create derivative works from any Course Content, whether in whole or in part, by any means or in any medium.

9.3 Prohibition on Unauthorised Reproduction

Any reproduction, distribution, public performance, adaptation, or commercial exploitation of Course Content or any other material owned by Growdiesel, without prior written authorisation from Growdiesel, constitutes an infringement of copyright under the Copyright Act, 1957, and may also constitute a breach of contract entitling Growdiesel to seek injunctive relief, damages, and other remedies available at law or in equity.

9.4 User-Generated Content

Where you post or submit any User-Generated Content on the course platform or through any feature of the Website, you grant Growdiesel a worldwide, royalty-free, non-exclusive licence to use, display, reproduce, and moderate such content for the purposes of operating and improving the platform. You represent and warrant that you hold all necessary rights in any User-Generated Content you submit and that such content does not infringe any third-party Intellectual Property rights, is not defamatory, and does not violate any applicable law.

9.5 Intellectual Property Created in Engagements

The ownership of Intellectual Property created during or arising from a consulting or technology engagement shall be as agreed in the applicable Engagement Agreement. Where no express provision is made, all project-specific deliverables shall be owned by Growdiesel unless the Engagement Agreement specifies otherwise in writing. Background Intellectual Property of each party shall remain the exclusive property of that party at all times.

10. Prohibited Conduct and Acceptable Use

In using any of our Services, you agree that you shall not, directly or indirectly:

Unlawful ActivityUse our Services for any purpose that is unlawful, fraudulent, or harmful, or in violation of any applicable law of India or any other jurisdiction, including the IT Act 2000, the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, or the Indian Penal Code, 1860.
Scraping and Data MiningUse automated tools, bots, scrapers, crawlers, or any other data extraction technology to collect information from the Website or course platform without the prior written consent of Growdiesel.
Defamation and HarassmentPost, publish, or transmit any content that is defamatory, obscene, threatening, abusive, or harassing toward Growdiesel, its employees, instructors, or other users of the platform.

Violation of this Section may result in immediate suspension or termination of your account and access to our Services, without refund of any fees paid, and without prejudice to any legal remedies available to Growdiesel.

11. Disclaimers

11.1 No Professional Advice

The information and materials provided through the Website and Course Content are for educational and informational purposes only. They do not constitute and should not be relied upon as professional financial, legal, regulatory, technical, or investment advice. You should obtain independent advice from qualified professionals before making any decision in reliance on information obtained through our Services.

11.2 No Guarantee of Results

Growdiesel makes no representation or warranty that use of our Services, implementation of our consulting recommendations, or completion of our courses will result in any specific financial return, business outcome, project success, revenue generation, or other result. Outcomes depend on a range of factors outside Growdiesel's control, including market conditions, regulatory approvals, site-specific variables, and the efforts and resources of the User or client.

11.3 Availability of Services

Growdiesel does not warrant that the Website or course platform will be available at all times, free from errors, or uninterrupted. We may at any time suspend, modify, or discontinue any part of our Services for maintenance, upgrades, or any other reason, without prior notice or liability. Growdiesel shall not be liable for any loss or inconvenience arising from temporary unavailability of the platform.

11.4 Third-Party Content and Links

Any references to third-party organisations, technologies, government bodies, or external data in our Course Content or Website are provided for informational context only and do not constitute endorsement, affiliation, or verification of the accuracy of such third-party information. Growdiesel takes no responsibility for the content, accuracy, or practices of any third-party website or resource linked from our Website or Course Content.

The biofuel, biogas, and renewable energy sectors in India are subject to evolving regulatory frameworks, including MNRE guidelines, state-level bioenergy policies, and environmental clearance requirements. Course Content and consulting outputs reflect Growdiesel's assessment as of the date of preparation and may not account for subsequent regulatory changes. It is the User's or client's responsibility to verify the current regulatory position applicable to any specific project.

12. Limitation of Liability

12.1 Exclusion of Consequential Loss

To the fullest extent permitted by applicable law, Growdiesel shall not be liable to you or any third party for any indirect, consequential, special, incidental, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of business opportunity, or reputational harm, arising out of or in connection with your use of or inability to use our Services, even if Growdiesel has been advised of the possibility of such damages.

12.2 Cap on Liability

Growdiesel's aggregate liability to you for any and all claims arising out of or in connection with these Terms or our Services, whether in contract, tort, negligence, breach of statutory duty, or otherwise, shall not exceed the total fees paid by you to Growdiesel in the 12-month period immediately preceding the event giving rise to the claim. For Users who have not paid any fees, Growdiesel's aggregate liability shall be limited to INR 5,000.

12.3 Exceptions

Nothing in these Terms shall limit or exclude Growdiesel's liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded under applicable Indian law, including the Consumer Protection Act, 2019.

12.4 B2B and Government Engagements

For consulting and technology engagements, liability is governed by the applicable Engagement Agreement. Where no specific limitation of liability provision is contained in the Engagement Agreement, the provisions of this Section 12 shall apply, subject to any mandatory provisions of applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Growdiesel Ventures Limited, its directors, officers, employees, instructors, consultants, and agents from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) your breach of any provision of these Terms or of any applicable law or regulation; (b) your use of our Services in a manner not authorised by these Terms; (c) any User-Generated Content you submit or post that infringes the rights of a third party or violates applicable law; (d) any misrepresentation made by you in connection with any enquiry, enrolment, or engagement; or (e) your violation of the Intellectual Property rights, privacy rights, or other rights of Growdiesel or any third party.

This indemnification obligation shall survive the termination or expiry of your engagement with Growdiesel and the cessation of your use of our Services.

14. Third-Party Links and Services

Our Website and course platform may contain links to or integrations with third-party websites, platforms, and services, including payment gateways, video hosting platforms, and external reference materials. Such links and integrations are provided for convenience only. Growdiesel has no control over the content, privacy practices, or terms of such third-party services and does not endorse or accept any responsibility for them.

Your use of any third-party website or service linked from our platform is governed by the terms and conditions and privacy policy of that third party. Growdiesel shall not be liable for any loss, damage, or claim arising from your use of or reliance on any third-party website or service.

15. Force Majeure

Growdiesel shall not be in breach of these Terms or liable for any failure or delay in the performance of its obligations to the extent that such failure or delay results from a Force Majeure Event. Growdiesel shall notify you as soon as reasonably practicable upon becoming aware of a Force Majeure Event that is likely to materially affect performance of any Service.

If a Force Majeure Event continues for a period exceeding 60 consecutive days, either party (in the context of a consulting engagement) may terminate the affected engagement by giving written notice to the other party, without liability other than in respect of fees for services already rendered. For course platform users, access periods shall be extended by a period equivalent to any platform unavailability caused by a Force Majeure Event, at Growdiesel's discretion.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them, including any question regarding their existence, validity, or termination, shall be governed by and construed in accordance with the laws of India.

16.2 Informal Resolution

In the event of any dispute, controversy, or claim arising between you and Growdiesel in connection with these Terms or our Services, the parties shall first attempt to resolve the dispute through good-faith negotiation. Either party may initiate this process by providing written notice to the other party describing the nature of the dispute and the relief sought. The parties shall have 30 days from the date of such notice to resolve the dispute informally before either party may initiate formal dispute resolution proceedings.

16.3 Arbitration

If the parties are unable to resolve the dispute informally within the 30-day period referred to in Section 16.2, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator agreed upon by both parties, or in the absence of agreement, appointed in accordance with the said Act. The seat and venue of arbitration shall be New Delhi, India. The language of arbitration shall be English. The award of the arbitrator shall be final and binding on the parties.

16.4 Injunctive Relief

Notwithstanding Section 16.3, Growdiesel reserves the right to seek urgent injunctive or other interim relief from any court of competent jurisdiction in respect of any breach or threatened breach of its Intellectual Property rights, confidentiality obligations, or any other provision where damages alone would not constitute an adequate remedy.

16.5 Jurisdiction for Non-Arbitrable Matters

For any matter that is not subject to arbitration under applicable law, or for the enforcement of an arbitral award, the courts of New Delhi, India shall have exclusive jurisdiction, and the parties hereby submit to such jurisdiction.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy and Data Protection Policy and any applicable Engagement Agreement, constitute the entire agreement between you and Growdiesel with respect to your use of our Services and supersede all prior representations, communications, and agreements, whether oral or written, relating to the same subject matter.

17.2 Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, unlawful, or unenforceable, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect.

17.3 Waiver

No failure or delay by Growdiesel in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. A waiver by Growdiesel of any breach of these Terms shall not be construed as a waiver of any subsequent breach of the same or any other provision.

17.4 Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of Growdiesel. Growdiesel may assign its rights and obligations under these Terms to any successor entity or acquirer of its business without your consent, provided that such assignee assumes all of Growdiesel's obligations to you under these Terms.

17.5 Notices

Any formal notice to be given under these Terms shall be in writing and delivered by email to the addresses set out in Section 18. Notices to Growdiesel shall be sent to shrey@growdieselmail.com with the relevant subject line. Notices shall be deemed received on the next working day following transmission, provided no delivery failure notification is received by the sender.

17.6 Amendments to These Terms

Growdiesel reserves the right to revise these Terms at any time. The revised Terms shall be published on the Website with an updated effective date. For material changes, Growdiesel will endeavour to provide advance notice by displaying a notice on the Website or by communicating with registered users by email. Your continued use of our Services following the effective date of any revision shall constitute your acceptance of the revised Terms. If you do not agree to the revised Terms, you should discontinue use of our Services and, where applicable, request account deletion.

17.7 Language

These Terms are published in the English language. In the event of any translation of these Terms into any other language, the English version shall prevail to the extent of any inconsistency.
